Node software license

This Node Software License (this “License”) is granted by PlayFi Labs Limited (“Company” “we,” or “us”) to the person or entity (“Node Licensee” or “you” or “your”) obtaining a copy of the software required to provide certain node operator services (such software, “Node Software”) in support of the PlayFi decentralized web3 data protocol described at https://www.playfi.ai/ (“PlayFi Protocol” and such node operator services are referred to as “Node Operator Services”).

Section 1: License Grant

a)  Company grants to Node Licensee a worldwide, non-exclusive, non-assignable, non-sublicensable limited license under copyright to display and reproduce the Node Software in executable code solely for the purpose of providing the applicable Node Operator Services in accordance with the then current PlayFi Protocol documentation which Company or an independent protocol entity supporting the PlayFi Protocol may publish and update from time to time in its sole discretion (such documentation, the “Governing Documentation”). The License may only be transferred in accordance with the Governing Documentation, and such transfers may also be subject to certain limitations and conditions as set forth in the Governing Documentation. Except for the express license rights granted above, all right, title and interest in the Node Software shall remain with Company. 

b) Node Licensee shall not (i) use the Node Software in violation of any applicable law; (ii) disclose or use the Node Software except as expressly permitted in this License; or (iii) make derivative works of, reverse engineer, or decompile the Node Software or any portion thereof. This License may be revoked in the event you violate any of the terms and conditions.

Section 2: KYC/AMI

a) This License is conditioned upon Node Licensee providing complete and accurate information to Company or its designee for purposes of establishing compliance with applicable “know-your-customer” and anti-money laundering rules and regulations. This License is not offered to persons who are citizens of, incorporated in, have their registered office in or reside in the United States or any restricted territory in accordance with this Section. 

b) This License is not offered to a Node Licensee if there are applicable legal restrictions in your country of residence that would make the use of the Node Software illegal or if you are:

(i) a citizen, domiciled in, resident of, or physically present / located in an Excluded Jurisdiction (as defined below);
(ii) a corporate body: (x) which is incorporated in, or operates out of, an Excluded Jurisdiction, or (y) which is under the control of one or more individuals who is/are citizens of, domiciled in, residents of, or physically present / located in, an Excluded Jurisdiction;
(iii) an individual or body corporate: (x) included in the consolidated list published by the United Nations Security Council of individuals or entities subject to measures imposed by the United Nations Security Council accessible at https://www.un.org/securitycouncil/content/un-sc-consolidated-list; or (y) included in the United Nations Lists (UN Lists) or within the ambit of regulations relating to or implementing United Nations Security Council Resolutions listed by MAS and accessible by https://www.mas.gov.sg/regulation/anti-money-laundering/targeted-financial-sanctions/lists-of-designated-individuals-and-entities; or
(iv) an individual or corporate body who is otherwise prohibited or ineligible in any way, whether in full or in part, under any law applicable to such individual or corporate body from participating in any part of this License.

“Excluded Jurisdiction” as used herein shall mean Iran, North Korea, Cuba, Syria, China, Afghanistan, Central African Republic (the), Congo (the Demographic Republic of the), Libya, Mali, Russia, Somalia, Sudan, and Yemen.

Section 3: Disclaimer and Limitation of Liability.

a)  THE NODE SOFTWARE IS PROVIDED “AS IS,” “WHERE IS,” AND “AS AVAILABLE,” WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION, WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND TITLE. NODE LICENSEE ACKNOWLEDGES THAT COMPANY HAS NO CONTROL OVER, OR RESPONSIBILITY OR LIABILITY TO NODE LICENSEE OR ANY OTHER THIRD PARTY FOR, THE GOVERNING DOCUMENTATION OR ANY ASPECT OF THE ACTIONS OR OPERATIONS OF THE PLAYFI PROTOCOL. WITHOUT LIMITING THE GENERALITY OF THE FOREGOING, (I) CERTAIN FUNCTIONALITY OR ENTIRE RELEASES OF THE NODE SOFTWARE AND PLAYFI PROTOCOL MAY BE RELEASED AS BETA OR TEST VERSIONS, MAY CONTAIN ERRORS, BUGS AND OTHER DEFICIENCIES, AND ARE USED BY YOU AT YOUR OWN RISK; AND (II) THE NODE SOFTWARE AND PLAYFI PROTOCOL ARE SUBJECT TO CHANGES AND REDESIGNS IN FUTURE RELEASES WITHOUT NOTICE WHICH MAY RENDER CERTAIN FUNCTIONALITY OR ENTIRE VERSIONS OF EARLIER RELEASES OF THE NODE SOFTWARE AND PLAYFI PROTOCOL UNSUPPORTED AND OBSOLETE.

b) IN NO EVENT SHALL COMPANY, ITS AFFILIATES, ITS LICENSORS OR LICENSEES, AND EACH OF THEIR RESPECTIVE OFFICERS, DIRECTORS, SHAREHOLDERS, MEMBERS, SUPERVISORS, MANAGERS, EMPLOYEES, ADVISORS, CONTRACTORS, AGENTS, AND SUCCESSORS AND ASSIGNS BE LIABLE FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, INCIDENTAL, EXEMPLARY, PUNITIVE, OR SPECIAL DAMAGES OF ANY NATURE ARISING FROM, OUT OF OR IN CONNECTION WITH, THE NODE SOFTWARE OR USE THEREOF, INCLUDING WITHOUT LIMITATION, THE PROVISION OF NODE OPERATOR SERVICES. WITHOUT LIMITING THE FOREGOING, THIS LICENSE SHALL NOT BE CONSTRUED, INTERPRETED, CLASSIFIED OR TREATED AS ENABLING, OR OFFERING ANY OPPORTUNITY TO, THE NODE LICENSEE TO PARTICIPATE IN OR RECEIVE ANY PROFITS, INCOME, OR OTHER PAYMENTS OR RETURNS ARISING FROM OR IN CONNECTION WITH THIS LICENSE, THE NODE SOFTWARE, THE PLAYFI PROTOCOL OR THE NODE OPERATOR SERVICES.

Section 4: Miscellaneous.

This License may be revised from time to time, and all changes are effective immediately upon posting the updated License. This License shall be governed by the laws of the British Virgin Islands without reference to the choice of law provisions of any jurisdiction.
